Terms of Service

 

1) Who we are

NextGen Concierge Medicine (“NextGen,” “we,” “our,” or “us”) provides concierge membership services and related clinical services through our website www.ngcmedicine.com (the “Site”).

2) Acceptance of these Terms

By accessing the Site, creating an account, purchasing a membership, or using any of our services, you agree to these Terms of Service (the “Terms”) and to our Privacy Policy and Notice of Privacy Practices (HIPAA).

3) Not insurance & emergencies

  • Memberships are not insurance and are not a substitute for health insurance.
  • Membership fees cover enhanced access and coordination features (see Section 7) and are not submitted to Medicare/Medicaid or commercial payers.
  • For emergencies, call 911 or go to the nearest emergency department. We do not provide emergency care. 

4) Eligibility & patient registration

You must be 18+ to purchase a membership (or a parent/guardian for a minor). Becoming a patient of NextGen requires completion of clinical intake, consent forms, and acceptance by our practice.

5) Family membership eligibility

Family plans include two (2) adults in the same household plus one (1) dependent child up to age 26. We may request documentation to verify eligibility. Additional dependents may be added by arrangement.

6) Membership plans & access standards

We offer Individual and Family plans in Annual or Monthly billing cadences. Unless otherwise stated:

  • Appointments: typically scheduled within 24–72 business hours. When capacity allows, same-day or next-day appointments may be offered. 
  • Messages & refills (non-urgent): replies typically within 24–48 business hours.
  • These are targets, not guarantees; surges, clinician availability, or clinical appropriateness may alter timing.

7) What your membership includes (amenities)

  • Readily Available Physician Care — access within 24–72h, streamlined scheduling, minimal or no wait times. 
  • Annual Wellness Exam — prevention & health education; may include fitness & stress assessments, wellness coaching, and nutrition counseling. 
  • Personalized Care Plans & Coordination — longer visits, shared goals, and navigation across specialists, imaging, and labs. 
  • Chronic Care Management (CCM) — monthly touchpoints when clinically indicated. 
  • Medication Management — reconciliation, interaction checks, refills & prior authorizations, and deprescribing when appropriate.
  • Enhanced Communication — direct phone/email access and a HIPAA-secure patient portal.
  • Telehealth + In-Office — care on your terms; home visits when medically necessary (coverage varies). 
  • Hospital care — if you are hospitalized, your care is managed by hospital-based physicians; we coordinate records and follow-up. 

Clinical services (evaluation/management, procedures, vaccines, imaging, labs, medications, and outside referrals) are not part of the membership fee and may be billed to insurance or to you directly, as applicable.

8) Services not included

Hospital/ED services, outside specialists, procedures performed outside our clinic, third-party fees, imaging, laboratory charges, durable medical equipment, and medications are not included in the membership fee. 

9) Professional relationship & clinical discretion

Care may be provided by physicians, nurse practitioners, and physician assistants within licensure and under physician supervision. Clinicians are not required to provide services that are not clinically appropriate.

10) Pricing, add-ons, and changes

Current plan pricing is shown on the Site. We may offer add-ons (e.g., additional dependent). We may change pricing or features on renewal with at least 30 days’ notice. We may amend the list of Services if needed to comply with payer interpretations of covered benefits.

11) Billing, auto-renew, and payment authorization

  • Cadence: Annual bills every 12 months; Monthly bills every 1 month.
  • Auto-renew: Plans auto-renew unless cancelled under Section 12.
  • Authorization: You authorize recurring charges via our processor (Shopify Payments/partners); failed payments may lead to suspension/termination after notice (dunning).

12) Cancellations, refunds, and proration

  • Your cancellation: 30 days’ written notice (email accepted).
    • Annual: Unused time after the 30-day window is prorated and refunded to the original payment method. 
    • Monthly: Continues through the end of the current cycle; no partial-month refunds.
  • Our cancellation: For non-payment, misuse, abusive behavior, repeated no-shows/late cancellations, or changes in practice scope, with notice, per law.
  • Late/no-show fees: We may charge reasonable fees for missed or late-cancelled visits (e.g., <24h office / <48h home visits).

13) Insurance & Medicare/Medicaid

Program Services are not billed to insurance. Covered clinical services may be billed to your insurer; you remain responsible for copays, coinsurance, and deductibles. 

14) HSA/FSA/HRA

We do not provide tax advice. If using HSA, FSA, HRA, or similar arrangements, consult your tax advisor regarding eligibility and deductibility.

15) Patient Rights & Responsibilities

Your Patient Rights & Responsibilities are incorporated by reference, including the right to a personal clinician, respectful care, informed decisions, privacy, and a process to file complaints; and responsibilities such as providing accurate information, using the portal, asking questions, following agreed plans, and paying amounts due. 16) Communications & e-consent

By providing your email and mobile number, you consent to receive service emails and non-marketing SMS about scheduling, reminders, and billing. Message/data rates may apply. Essential notices may continue even if you opt out of marketing messages.

17) Portal & privacy

Use our HIPAA-secure portal for clinical messaging/records. Standard email/SMS may not be fully secure; by using them, you accept associated privacy risks. See our Notice of Privacy Practices.

18) Conduct & acceptable use

No misuse of the Site or services (harassment, threats, fraud, sharing portal access, scraping, reverse engineering). We may suspend or end access for violations.

19) Intellectual property

Site content is owned by NextGen or its licensors and protected by IP laws. Do not copy, modify, or distribute without permission.

20) Third-party services

We may link to or use third-party tools (e.g., payment processors). We are not responsible for their content or practices.

21) No warranties; limitation of liability

The Site is provided “as is.” To the fullest extent allowed by law, we disclaim implied warranties. To the extent permitted, our total liability will not exceed the membership fees paid in the prior 12 months; no liability for indirect or consequential damages.

22) Indemnification

You agree to defend, indemnify, and hold harmless NextGen and our clinicians/staff from claims arising out of your misuse of the Site or violation of these Terms.

23) Dispute resolution; governing law

These Terms are governed by the laws of Califoria. Disputes may be resolved by binding arbitration in California on an individual basis (no class actions). You may opt out within 30 days by emailing info@ngcmedicine.com.

24) Changes to these Terms

We may update these Terms periodically. Material changes will be posted and/or emailed. Continued use after the effective date means you accept the changes.

Exhibit A — Feature summary by plan (informational)

  • Included for all plans: 24–72h appointment access (targets), 24–48h replies (targets), Annual Wellness Exam, longer visits, care coordination, CCM (when indicated), medication management, secure portal, telehealth, after-hours urgent line. 
  • Individual Premium: All Standard features plus priority scheduling, enhanced wellness programs, executive health assessments/extended visits (where applicable).
  • Family Standard: All Standard features for 2 adults + 1 dependent (≤26) in the same household; pediatric care coordination; family wellness programs. 
  • Family Premium: Family Standard plus priority access and enhanced services. 

If any conflict exists between this Exhibit and a signed membership agreement, the agreement controls. This template is operational guidance, not legal advice; please have your attorney review for state-specific requirements.
